These Terms of Service (“Terms”) are a legally binding agreement between you and Muze. They govern your access to and use of all Muze-owned and operated websites (including muze.so and its subdomains), mobile and desktop applications, APIs, widgets, embedded players, and any other products, features, or services that link to these Terms (collectively, the “Services”). They also govern any information, text, graphics, photos, audio, video, live streams, or other materials made available through the Services (collectively, “Content”).
By creating an account or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
These Terms are between you and Muze B.V., a private limited liability company (besloten vennootschap met beperkte aansprakelijkheid) organized under the laws of the Netherlands, with its registered office at Bloemgracht 59-1, 1016 KE, Amsterdam, the Netherlands, and registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under number 96166649 (“Muze”, “we”, “us”, or “our”).
If you use the Services on behalf of a company, organization, school, government body, or other legal entity, you represent that you have the legal authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and that entity.
Special Provisions for Users in India:
If you are located in or a resident of India, these Terms are between you and Stroopwafel Private Limited, a company incorporated under Indian law, with its registered office at 12/1 FE, Lake Shore Homes, Kasavanahalli, Bengaluru 560035, Karnataka, India, Corporate Identity Number U62011KA2025PTC209024, an affiliate of Muze. Where specifically noted (see Governing Law and Dispute Resolution), the Services in India are subject to Indian law. All other provisions of these Terms apply unless expressly modified in this India-specific section.
1. Eligibility and Account Registration
1.1
You may use the Services only if you can form a legally binding contract with Muze and are not barred from using the Services under any law, regulation, or sanction. You must be at least fifteen (15) years old to create an account or use the Services. Users under fifteen (15) may use the Services only under the direct supervision of a parent or legal guardian who accepts these Terms on their behalf.
1.2
If you accept these Terms or use the Services on behalf of another person (including a minor) or an entity (such as a company, non-profit, or government agency), you represent and warrant that: (i) you are at least eighteen (18) years old or the age of majority in your jurisdiction (whichever is higher); (ii) you have full legal authority to bind that person or entity to these Terms; (iii) if acting for a minor, you are their parent or legal guardian and can give consent; and (iv) that person or entity will be fully bound by these Terms. In such cases, “you” and “your” refer to that person, minor, or entity, as appropriate.
1.3
You represent and warrant that your use of the Services does not violate any export control laws, sanctions, or other legal restrictions of the Netherlands, the European Union, the United States, India (where applicable), or any other relevant jurisdiction.
2. Privacy and Data Protection
Your privacy is very important to us. Our Privacy Policy, available at https://muze.so/privacy, explains how we collect, use, share, store, and protect your personal information when you use the Services. The Privacy Policy is part of these Terms. By using the Services, you acknowledge and consent to the data practices described in the Privacy Policy, including the transfer and processing of your personal data in the Netherlands, other EEA countries, the United States, India, and any other countries where Muze, its affiliates, or service providers operate.
3. Content on the Services
3.1
You are solely responsible for:
a. all activity that occurs under your account;
b. any Content you upload, post, stream, share, link to, or otherwise make available via the Services (“Your Content”); and
c. ensuring that Your Content complies with these Terms, our Community Rules and Policies, all applicable laws and regulations, and the intellectual property, privacy, publicity, and other rights of third parties.
Content on Muze is public by default unless you choose otherwise. Only upload or share Content you are comfortable making public.
3.2
Muze does not endorse or guarantee the completeness, truthfulness, accuracy, reliability, or legality of any user Content. All Content is the sole responsibility of the person or entity that created it. Muze is a hosting platform and does not pre-screen all Content, but may, at any time and for any reason, monitor, review, edit, refuse to display, remove, or disable access to any Content, at its sole discretion and without obligation. By using the Services, you may encounter Content that is offensive, harmful, inaccurate, misleading, deceptive, mislabeled, or otherwise objectionable. You access and rely on all Content at your own risk.
3.3
You must not post, transmit, or facilitate Content that:
a. infringes any patent, trademark, trade secret, copyright, or other intellectual property or proprietary right;
b. impersonates any person or entity or misrepresents your affiliation with any person or entity;
c. violates any law or regulation (including laws on obscenity, child sexual exploitation material, terrorism, or gambling);
d. is harassing, abusive, threatening, hateful, defamatory, libelous, or invades another’s privacy or publicity rights;
e. is spam, phishing, or any unauthorized advertising or commercial solicitation;
f. contains viruses or other malicious code intended to interrupt, destroy, or limit the functionality of software, hardware, or telecommunications equipment;
g. promotes violence, discrimination, or illegal activities; or
h. interferes with or disrupts the Services or the servers or networks connected to the Services.
3.4
If you believe Content infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) and applicable EU and national copyright laws by providing our Copyright Agent with the legally required information. We respond promptly to valid infringement notices and may terminate repeat infringers where appropriate.
3.5
You retain ownership of Your Content. However, by submitting, posting, uploading, streaming, or displaying Your Content on or through the Services, you grant Muze a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sub-licensable (through multiple tiers) license to host, store, cache, use, copy, reproduce, modify, adapt, reformat, translate, publish, transmit, publicly display, publicly perform, distribute, syndicate, and create derivative works of Your Content in any media or distribution method (now known or later developed). This is for operating, providing, promoting, analyzing, improving, and developing the Services, including training and improving machine-learning and artificial-intelligence models.
This license continues after you stop using the Services for copies or derivative works already created or distributed under the license. You agree that Muze may make Your Content available to other users and to third parties with whom Muze has contracts (such as partners, advertisers, and analytics providers).
You represent and warrant that:
a. you own or control all rights in Your Content needed to grant the above license;
b. Your Content does not infringe, misappropriate, or violate any third-party intellectual property, privacy, publicity, or other rights;
c. Your Content complies with all laws and these Terms; and
d. you are solely responsible for obtaining any required licenses (for example, synchronization, mechanical, or public performance licenses) for third-party materials (such as music or stock images) included in Your Content.
You agree to defend, indemnify, and hold harmless Muze and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these representations and warranties.
4. Using the Services
4.1
You agree to use the Services only for lawful purposes and in line with these Terms, our Community Rules and Policies (https://help.muze.so/rules-and-policies), and all applicable laws and regulations. You must not use the Services in any way that could damage, disable, overburden, or impair them, or interfere with others’ use of the Services.
4.2
The Services may change over time. Muze may, at its sole discretion and without notice, modify, suspend, discontinue, or restrict any feature or part of the Services, temporarily or permanently. This includes limiting or removing features, imposing usage limits, or reclaiming usernames.
4.3
In return for your access to the Services, you agree that Muze and its third-party providers and partners may show advertising on the Services or alongside Content, including Your Content. You are not entitled to any payment for such advertising.
4.4
Muze may access, preserve, and disclose your account information and Content if required by law or if we believe in good faith that it is reasonably necessary to: (a) comply with legal process or government requests; (b) enforce these Terms; (c) respond to claims that Content violates third-party rights; (d) respond to your support requests; or (e) protect the rights, property, or safety of Muze, its users, or the public.
4.5
You are responsible for keeping your login credentials confidential and for all activity under your account. We strongly recommend using a strong, unique password and enabling two-factor authentication. Notify us immediately at [email protected] of any unauthorized use of your account or other security breach.
4.6
Subject to your ongoing compliance with these Terms, Muze grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and any related content, software, or features solely for your personal, non-commercial use (or internal business use if you represent an entity). All other rights are reserved by Muze and its licensors.
4.7
You agree not to (and not to attempt or help others to):
a. access the Services by any means other than the interfaces provided by Muze;
b. bypass, disable, or interfere with security features or features that limit use of the Services;
c. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Services, except where expressly allowed by law;
d. scrape, crawl, or use automated tools (including bots, spiders, or scripts) to collect information or content from the Services without our prior written consent;
e. introduce viruses, trojan horses, worms, logic bombs, or other malicious or harmful material;
f. attack the Services via a denial-of-service or distributed denial-of-service attack;
g. forge headers or otherwise manipulate identifiers to disguise the origin of information transmitted through the Services; or
h. engage in any activity that interferes with or disrupts the Services or the servers or networks connected to them.
Violations of system or network security may result in civil or criminal liability.
4.8
You may terminate these Terms at any time by deactivating your account and stopping all use of the Services. Muze may suspend or terminate your account or access to the Services immediately, without notice or liability, for any reason, including if you breach these Terms or if providing the Services to you is no longer commercially reasonable. When termination occurs, your right to use the Services ends immediately.
5. Disclaimers and Limitation of Liability
5.1
THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, MUZE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS (THE “MUZE ENTITIES”) DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, TIMELINESS, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
5.2
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MUZE ENTITIES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES (EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; OR (iv) UNAUTHORIZED ACCESS TO, USE OF, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT WILL THE TOTAL LIABILITY OF THE MUZE ENTITIES EXCEED THE GREATER OF ONE HUNDRED EUROS (€100) OR THE AMOUNT YOU PAID MUZE, IF ANY, IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you where prohibited by law.
5.3
You agree to defend, indemnify, and hold harmless the Muze Entities from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way related to: (i) your access to or use of the Services; (ii) Your Content; (iii) your violation of these Terms; or (iv) your violation of any third-party right, including any intellectual property or privacy right.
6. General Provisions
6.1
We may update these Terms from time to time. The latest version will always be available at https://muze.so/termsofservice. If we make material changes, we will provide notice through the Services or by other means. Changes will take effect no earlier than fourteen (14) days after posting, except for changes about new features or legal requirements, which may take effect immediately. Your continued use of the Services after the effective date means you accept the revised Terms.
6.2
These Terms and any dispute or claim related to them or the Services are governed by the laws of the Netherlands, without regard to conflict-of-law rules. You irrevocably agree that the courts of Amsterdam, the Netherlands, have exclusive jurisdiction over any dispute or claim related to these Terms or the Services, except that Muze may seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property or confidential information.
For users in India, disputes are governed by Indian law and subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
6.3
These Terms, together with the Privacy Policy and any additional terms referenced in them, form the entire agreement between you and Muze regarding the Services. If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent allowed, and the remaining provisions will remain in full force and effect.
6.4
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
